We are SQUEAKI LIMITED, a company incorporated in the UK under company number 14160792,having the registered address at 128 City Road, London, United Kingdom, EC1V 2NX.

This User Agreement (the “Agreement”) contains information about your legal rights, remedies,obligations, and is a legally binding agreement between you (“you” or “User”) and SQUEAKI LIMITED (“SQUEAKI”, “we”, or “us”), governing your use of SQUEAKI’s Site www.squeaki.co.uk and Site Services (collectively, “SQUEAKI Services”).

You understand that by using SQUEAKI Services (which generally means using in any way our work marketplace at www.squeaki.co.uk or our applications), and by clicking “Accept” when prompted on the Site and Site Services, you agree to be bound by all agreements which constitute SQUEAKI’s Terms of Service, and you agree that the “Terms of Service” means every agreement linked herein
and includes Terms of Website Use, Privacy Statement, User Profile Policy, Fixed Price Direct Contract Escrow Contract and Instruction, Fee and ACH Authorisation Agreement, Trade Mark Use Policy, Non-discrimination Statement, and this User Agreement.

If you want to use our work marketplace or any of SQUEAKI Services, whether registering an account or not, you must first read and agree to this Agreement. If you do not understand this Agreement or do not agree to all its terms and conditions, you may not use our SQUEAKI Services. If you do not understand or agree to this Agreement, do not click “Accept” this Agreement, “Sign Up”, “Create My Account”, or similar, and do not visit our Site, use our mobile applications, or otherwise use our SQUEAKI Services. If you are using our SQUEAKI Services on behalf of a business or legal entity, you may only do so if you have the authority to agree to the Terms of Service on behalf of that business or legal entity.

1. DEFINITIONS

In this User Agreement:

Clientmeans a person buying services from a Service Provider on SQUEAKI.
Commencemeans either the purchase of an Offer by the Client or acceptance of a Hire Request by the Service Provider.
Contentmeans such thing as data, text, photographs, videos, audio clips, written post and comments, graphics, User content and interactive features generated, provided, or otherwise made accessible on or through SQUEAKI.
Disputemeans a dispute raised in relation to a rejected Invoice.
Escrow Accountmeans the virtual account where money is deposited on the Commencement of the Job and is only released in accordance with these terms and conditions.
Guestmeans an unregistered user on SQUEAKI.
Invoicemeans a bill for a completed Job which is raised by the Service Provider.
Offermeans a pre-packaged service, that is offered on SQUEAKI by a Service Provider for a fixed price and delivered within fixed timescales as shown on our mobile applications.
Projectmeans a piece of work that a Service Provider and Client agree via SQUEAKI to be provided by the Service Provider to the Client. A Project refers to work either agreed when the Client purchases an Offer, or when additional request(s) from the Client is confirmed by the Service Provider. When an additional request is made by the Client and confirmed by the Service Provider, it forms a part of the original Project.
Service Contractmeans the contract formed between the Client(s) and the Service Provider(s) in which the Service Provider(s) will provide the Project to the Client(s).
Service Providermeans a person selling services to a Client via SQUEAKI including but not limited to cleaning services.
SQUEAKI Servicemeans the services provided by SQUEAKI as specified in Clause 2.
Usermeans any registered person who uses SQUEAKI.
User Accountmeans a SQUEAKI User’s persona, profile, settings, activities, invoices, transactions and funds balance available for withdrawal.
User Contentmeans all Content uploaded, submitted, distributed, or posted to the services by User, including but not limited to, Proposals and communication. User Content is the sole responsibility of the person who originated it.

2.PURPOSE OF SQUEAKI

The SQUEAKI Site is a work marketplace where the Clients and Service Providers can identify each other and advertise, buy, and sell services online. Subject to the Terms of Service, SQUEAKI provides the SQUEAKI Services to Users, including hosting and maintaining the SQUEAKI Sites, facilitating the formation of the contracts between Users, and assisting User in resolving disputes which may arise in connection with those contracts. When a User enters a Service Contract, the User agrees to use the Services exclusively to invoice, receive, and pay any amounts owed under the Service Contract.

3.SERVICES PROVIDED BY SERVICE PROVIDERS

Services are offered on SQUEAKI through either offers, which are fixed price services; or custom requests of which prices will be shown on our mobile applications after the requests are made. Services delivered in these ways on SQUEAKI are collectively referred to in these terms as “Project” as defined above. Whether or not a Project is offered and/or accepted is entirely at the discretion of the Service Provider/Client. SQUEAKI has no control over this process. Projects are provided by Service Provider directly to Clients, who determine the deliverables, price, and all other requirements.

On Commencement of a Project, the Client pay funds into the Escrow Account, and the Client must confirm their requirements upfront in the mobile applications.

The Service Provider must deliver the Project within the delivery times either defined in their Offer or agreed with the Client upfront in the mobile applications for the custom projects. The service Provider’s ranking will be penalised for late delivery.

Service Providers shall fulfil their projects and Clients shall pay for work delivered. Users will be penalised for cancellations or refunds caused by them, without just reason.

Once the project has been completed, the Service Provider will raise a request to receive payment, including the release of funds held in the Escrow Account. The Service Providers shall not request payment before work has been completed.

4.FUNDS HELD BY SQUEAKI

SQUEAKI is not a financial institution and only holds funds for the purposes of settling the provision of services and specific invoices of Service Providers. We strongly recommend that all users do not hold dormant balances on the platform. No user is permitted to hold a dormant balance on the platform for more than 30 days. SQUEAKI reserves the right to apply Admin Fees or write downs to dormant balances until they are withdrawn or become zeroed. Funds held by SQUEAKI on the platform are not insured nor covered by any Financial Services Compensation Scheme or any other government agency. SQUEAKI holds the funds in a separate client account.

5. CONTACTING

For purposes of service messages, notices, offers and news about SQUEAKI, Users receive alerts on certain pages and emails to the email addresses associated with their accounts. If you do not want to receive newsletters, announcements, or other communications and/or services from our Site, please do not opt-in for those communications or services at the time of registration. If you have opted-in and, later, wish to opt-out, please click on the relevant link inserted in our communications. In every e-mail communication sent to you, we provide you with the opportunity to discontinue receiving future communications (i.e., unsubscribe). Simply follow the unsubscribe process or directions provided in these emails.

6.SQUEAKI USER ACCOUNT

To access the full SQUEAKI Services, Users must register for an account, provide accurate and complete information, and keep their account information updated. Both Clients and Service Providers undergo the same account registration process.

Each account must be a personal account, but Users may trade as a sole trader, company, or any other legal entity (whether incorporated or unincorporated).

Users cannot register for more than one account.

The information that Users supply in the public profile of their account must comply with the SQUEAKI Profile Policies.

SQUEAKI reserves the right to restrict your access, temporarily or indefinitely block your account, stop any projects you have in progress, warn other Clients and Service Providers of your actions, or issue you a warning if:

  1. you breach these terms and conditions or the referenced policies.
  2. we are unable to verify or authenticate any information you provide to us.
  3. we believe that your actions may cause any loss or liability to our Users or to us.

Users are solely responsible for any activity that occurs on their account, unless it is a result of actions beyond their control (such as hacking or if someone steals their password when they have taken reasonable steps to keep it secure). Users may never use another person's user account or registration information for the SQUEAKI Services.

You confirm that you are not economically barred/limited under sanctions rules of any country worldwide. If your circumstances change to be included in such lists, please cease using SQUEAKI immediately.

As per UK AML regulation, SQUEAKI is unable to support users from North Korea, Iran, Syria, Sudan (Republic of Sudan or North Sudan), South Sudan (Republic of South Sudan) and Region of Crimea.

SQUEAKI will only operate in specific locations throughout the UK and will only be available in certain locations. This list of locations is subject to change at any time and will be updated on our mobile application accordingly.

7.PROJECT DELIVERY

7.1 Placing an Order

The Client places an Order by purchasing an Offer from the Service Provider listed on our mobile applications.

On purchase of an Offer the Client's funds will be held in the Escrow Account automatically.

If the Client wishes to request additional work outside the standard Offer listed on our mobile application, the Client will then need to provide their requirements (as specified in the Offers description page) in our mobile applications so that the Service Provider can get started.

When purchasing an Offer, the Client can request either ‘on demand’ or as ‘scheduled’ to their preferred address.

If a Service Provider does not accept an ‘on demand’ request within an hour from the time the Client purchased an Offer, the Client will have to refresh the request.

If the address has been incorrectly stated by the Client, and the Service Provider has already arrived at the incorrect address, and this address is not within 400 meters distance to the correct address, the Client will have to pay a fee of £5. This is applicable regardless of whether the Service Provider goes to the correct address or not.

If the Client cancels the Order after the cleaner has accepted a job, the Client shall pay an administration fee of £15.

If the Client is not present at the address for when a clean has been requested, then a cancellation fee of £15 will be applicable. If the Client is at the address within 15 minutes after the Service Provider arrives, this fee will be waivered.

7.2 Delivery of Service

For ‘on demand’ jobs, the Service Provider once they have accepted the job, will be able to confirm “an expected arrival time” within a 3-hour time frame. If the Service Provider is delayed by over 30 minutes from this expected arrival time, a discount of 5% will be offered to the Client for the next cleaning request. The Client can opt to cancel and reschedule the clean with a different Service Provider if they are not happy to wait, and the rescheduled clean will also be offered with a 5% discount off the total cost. This amount will be deducted from the actual payment the Service Provider will receive in the next Project for the same or a different Client.

If the Service Provider does not reach the property within 15 minutes of the time confirmed for a ‘scheduled’ clean, the Client will be offered a 5% discount on the total cost of the Service. This amount will be deducted from the actual payment the Service Provider will receive in the next Project for the same or a different Client.

If a Service Provider cancels the job after it was confirmed within 12 hours of a ‘scheduled’ clean and SQUEAKI is unable to find a replacement Service Provider, the Client will be offered a 10% discount on their next clean, whether that is ‘scheduled’ or ‘on demand’. This amount will be deducted from the actual payment the Service Provider will receive in the next Project for the same or a different Client.

If a Service Provider cancels an “on demand” clean after the job has been confirmed, and SQUEAKI is unable to find a replacement Service Provider, the Client will be offered a 10% discount on their next clean, whether that is “scheduled” or “on demand”. This amount will be deducted from the actual payment the Service Provider will receive in the next Project for the same or a different Client.

7.3 Quality of Service

All Service Providers on SQUEAKI must strive to deliver a high standard of work, appropriately meeting their Client’s needs.

Specifically, Service Providers must ensure that all deliverables are:

  1. Each cleaning job must be carried out carefully and efficiently, to not only ensure the property looks and smells great, but it will also protect the client and their surroundings from the worries of viruses and germs.
  2. Fresh cleaning cloths and good quality cleaning products should always be carried with the Service Providers.
  3. All clean will include dusting, wiping, vacuuming/mopping of that specified area.
  4. The Service Providers will also include a cleansing to ensure anti-virilisation of all hard surfaces.
  5. The Service Providers should also be in a clean, professional state to ensure the client feels comfortable and confident in the service.

If the above standards are not met, the Client should notify us about any complaints.

7.4 Further terms and conditions on Project delivery

The Clients and Service Providers warrant and agree that:

  1. You are able and shall pay for the services if you are a Client and are able and shall perform the services if you are a Service Provider.
  2. You are not in breach of any applicable laws, rules or regulations or obligations to any other third party.
  3. You have made and will make all required legal and tax filings. If relevant, you will file all necessary legal documentation relating to your self-employment required by any governmental body and pay all applicable taxes.
  4. You shall not (and shall not permit) any third party to either take any action or upload, download, post, submit or otherwise distribute or facilitate the distribution of any Content on or through the services SQUEAKI provide, including but not limited to any User Content, that infringes any patent, trade mark, trade secret, copyright or other right of any other person or entity or violates any law or contractual duty.

8.RELEASE OF ESCROW FUND

Once the work has been completed, the Service Provider will raise an invoice and:

  1. the Client is then able to leave feedback for the Service Provider, upon which the funds held in the Escrow Account will be automatically released to the Service Provider as payment.
  2. alternatively, if the Client is not satisfied with the deliverables, they can reject the invoice and provide the Service Provider with detailed feedback on the work that has been done and what work remains outstanding (“Complaint against Service Provider”). In any case, the Client must file a Complaint against Service Provider within 48 hours after the service has been completed. The Client agrees that failure to file a Complaint against Service Provider will prevent the Client from the right to claim any refunds or discounts. A Complaint against Service Provider shall be made directly via our mobile applications, and a ticket will be generated for the Client.The Service Provider must provide, and be given the chance to provide, any response based on detailed feedback from the Client.SQUEAKI shall make the best endeavour to settle any disagreement or dispute between the Client and the Service Provider. For the avoidance of doubt, SQUEAKI is not liable for the service quality provided by the Service Provider and is not a party of the Service Contract between the Client and Service Provider as specified in Clause 10.
  3. if the Client does not either a) leave feedback for the Service Provider, nor b) reject the invoice, the funds held in the Escrow Account will be automatically released on their behalf to the Service Provider as payment after seven (7) days.
  4. if the funds held in the Escrow Account are released to the Service Provider in accordance with the clauses above, SQUEAKI and the Service Provider will be entitled to assume that the Client is satisfied with the project and does not have a dispute of any kind in relation to the project. The Client agrees that they will not file a dispute or seek to reverse payment through their credit card provider, bank, or PayPal

9. PAYMENT

SQUEAKI acts as an Agent of Payment between the Client and the Service Provider. In return for full invoice payment by the Client for the project, SQUEAKI agrees to discharge the Client's obligations relating to debts owed to the Service Provider under this agreement. SQUEAKI agrees to make such funds available to the Service Provider, subject to our fraud and AML procedures. Service Providers are then able to withdraw those funds following a clearance period, subject to the setting up of a valid withdrawal account.

SQUEAKI takes its obligations to prevent fraud and money laundering seriously and reserves the right to delay payments to Service Providers if fraud or money laundering is suspected. All payments for work completed must go via SQUEAKI unless SQUEAKI has given its express written permission otherwise in relation to a specific payment or invoice; attempts to pay outside of SQUEAKI will lead to sanctions not limited to immediate account suspension. Users must immediately report to SQUEAKI any offers to pay outside of SQUEAKI made by their Client or Service Provider.

All payments between the Client and the Service Provider must be processed through SQUEAKI as described in this Agreement, both for work sourced on SQUEAKI and for any follow-on work between the Client and the Service Provider, either for the same Project or another Project. A Service Provider may seek express permission from SQUEAKI to allow payment by alternative means for a specific invoice or payment if the Service Provider intends to issue proceedings or pursue legal action against the Client.

Payment (or attempt of) outside of SQUEAKI is a breach of these terms and conditions unless the prior express written consent of SQUEAKI has been obtained. Such payment (or attempt of) will lead to temporary and/ or permanent suspension of the Client and/ or Service Provider's account. The Service Provider will be liable for any loss of business and legal expenses that SQUEAKI may incur in recovering it. SQUEAKI reserves the right to sanction funds held in the Service Provider's Account to recover lost fees.

Moreover, SQUEAKI will not mediate any Disputes or be liable to either the Client or Service Provider's loss of business as a result of the violation of this clause. Users must report attempts or offers to make payment outside of SQUEAKI by their Client or Service Provider to SQUEAKI immediately.

Payments by Clients are routinely checked by SQUEAKI for fraud prevention purposes before any payments are released to the Service Provider. Funds are only made available for withdrawal following a clearance period of at least seven (7) days after the invoice has been approved by the Client. Service Providers with total invoices paid in the last two (2) calendar months (“Recent

Income”) of between £2,000 and £6,000 (or equivalent if converted) are eligible to withdraw funds following a safety clearance period of seven (7) days after the invoice has been approved by the Client. Service Providers with a Recent Income of more than £6,000 (or equivalent if converted) are eligible to withdraw funds following a safety clearance period of three (3) days after the invoice has been approved by the Client.

To withdraw funds from their User Account, a Service Provider needs to request a withdrawal on an authorised withdrawal account. An authorised withdrawal account will be a bank account under the User’s name as registered on their profile.

SQUEAKI processes payments daily and will send the money to the Service Provider via their selected payment preference. Once SQUEAKI has processed the payments, they are then subject to timescales imposed by the banking clearance systems (BACs in the UK).

For security reasons, SQUEAKI reserves the right to request additional information from Clients and Service Providers, including original documents, and to verify documents with issuing institutions. Therefore, we reserve the right to request the following proofs of identity:

  1. A copy of a Government issued form of ID (such as passport, driving licence, or national ID card); and
  2. A copy of a recent utility bill showing your name and address (less than 3 months old).

For credit/debit card Users, we reserve the right to request the following documents and information:

  1. A copy of the front and back of the card used. For Security Compliance we recommend that you blank out the central 8 digits of the card number digits, and the last three digits from the number on the back; and
  2. Credit or Debit Card Bank Statement of the card used on your SQUEAKI User account (less than 3 months old). For Security Compliance you must blank out the central 8 digits of the card number digits.

For PayPal Users, we reserve the right to request the PayPal Account statement showing your PayPal registered name, email address and verification status along with any relevant transactions.

In using the Escrow Account, SQUEAKI act, subject to these terms and conditions, on the User's behalf. SQUEAKI holds the funds in a separate client account. SQUEAKI is not a bank or financial institution and only holds funds for the purposes of settling the provision of services and specific invoices of Service Providers.

We strongly recommend that all Users do not hold balances on the platform. Funds held by SQUEAKI on the platform are not insured nor covered by any Financial Services Compensation Scheme or any other government agency. Users will not receive interest or other earnings on the funds in their Escrow Account or SQUEAKI User Account. SQUEAKI will endeavour to ensure that the funds in the Escrow Account or SQUEAKI User Account are available to the User in accordance with these User Agreement but do not guarantee that they will be available to the User in circumstances which are unforeseen or beyond our control.

If SQUEAKI has to return funds to the Client due to the Client (contrary to this User Agreement) filing a dispute or requesting a payment be reversed through its credit card provider, bank or PayPal then SQUEAKI will be entitled to recover any such amount from the Service Provider’s SQUEAKI User Account (and if insufficient monies are in the Service Provider’s Account), credit card or other previously made payment method if available. If SQUEAKI is unable to recover the amount returned to the Client from the Service Provider in full then the Service Provider agrees to pay to SQUEAKI any outstanding sums within 48 hours of SQUEAKI making a request.

To prevent funds being held indefinitely in the Escrow Account, SQUEAKI will notify the Service Provider in the event of funds being held in an Escrow Account for a Project that:

  1. does not have an unpaid Invoice nor an open Dispute; and
  2. has not had any activity on our mobile applications for a period of one (1) calendar month or longer. For the purpose of this clause, activity is defined as any action by the Client or Service Provider on our mobile application such as a message posted, an Invoice raised, a deposit into the Escrow Account made or a Refund Request raised.

SQUEAKI uses third-party service providers including bank transfer or through the payment platform Stripe to process payment by the Clients and to transfer funds to Service Providers. These third-party

payment services are regulated and authorised to provide payment services in the UK. SQUEAKI may share your personal or transactional information with third-party payment service providers when it is necessary to process payments.

10.SERVICE PRICE

For the purpose of providing fair competition in the marketplace, Service Providers agree that the minimum payment for the cleaning work is £24 covering 1 hour worth of cleaning if there are no additional tasks requested (“Floor Price”). Any additional cleaning time will be charged at the rate of £12 per half of an hour. These rates are applicable for the working hours of 7am to 7pm. Any cleaning work outside of these hours will incur a higher rate of at least £28 per hour or £14 per half of an hour depending on demand and supply. SQUEAKI reserves the right to unilaterally adjust the Floor Price at its own discretion.

Each Project (including cleaning work) that is requested by the Clients will be precalculated by our mobile applications based on the work they request. The Client agrees that by confirming the price shown on our mobile applications, you have read and agreed with the list of work in the Project requested.

If the Clients provide the Service Providers with cleaning products and equipment to use, they need to be safe and in working order, and adequate amounts to complete the requested jobs. SQUEAKI will not be responsible for any damage to equipment or products provided by the Clients or Service Providers.

If you are the Client, you agree that you will provide large equipment such as vacuum cleaners and mops to the Service Provider so that the Service Provider can deliver the service.

If you are the Service Provider, you agree and warrant that you will always have your own cleaning products. The Client agrees that an additional cost of £5 will be incurred when the Client requests to use the Service Provider’s cleaning products.

If the Service Provider runs out of supplies or equipment is not in working order, the price of the cleaning work will be deducted by £5 from the account.

The Service Provider agrees and warrants that all cleans will include dusting, wiping, vacuuming/mopping of that specified area. The Service Provider will also include a cleansing to ensure the anti-virilisation of all hard surfaces. The Service Provider and Client agree and understand that windows and/or mattress cleaning and/or deep cleaning of upholstery, etc. are not included as part of standard cleans, but this can be requested, and the decision is at the discretion of the Service Provider.

If additional tasks are required and were not logged on our mobile application beforehand, this can be added on our mobile application by the Service Provider on request to calculate the new cost. If both parties are satisfied with the scope of work and additional cost, the extra task(s) shall be performed and completed by the Service Provider.

11.LEAVING FEEDBACK AND REPORTING COMPLAINTS

The Service provider will be expected to take images of the property/ areas designated for the cleaning job before and after completion of clean. These images will be uploaded on to the mobile application for both the Service Provider and Client to review as needed.

When the Project is completed and the Service Provider has been paid by the Client, both parties are asked to provide both qualitative feedback and a rating from 1-5 for the other party. This rating influences each User's ranking on SQUEAKI. In order for a User to read a received review, they have to submit their feedback as well. A review (feedback) is published on the member profile page when both parties (Client and Service Provider) leave their feedback within the first 60 days since invoice payment (funds released / amount paid). In case 60 days have passed, any submitted review is disclosed and users that haven't left any review will no longer be able to do so.

Both parties should complete the feedback honestly. Users must not falsify feedback or manipulate or coerce another User by threatening negative feedback or offering incentives in exchange for feedback. Any attempts of this nature should be reported immediately to SQUEAKI.

Feedback comments that are reported to us as defamatory, abusive, or offensive will be reviewed and may be removed at our discretion.

12.REFUND POLICY

Refunds are only applicable to funds held in the Escrow Account. As specified in this User Agreement, Funds should only be paid out of the Escrow Account once the Client is satisfied that the project has been completed. By releasing funds from the Escrow Account, the Client accepts that this money is non-refundable.

Clients must avoid filing a dispute or reversing a payment through their credit card holder, Bank or PayPal. Attempts to seek a refund in this way will lead to the Client's account being automatically suspended.

12.1 Requesting a refund

A Client can request a refund of the funds held in the Escrow Account by directly raising a ticket on the mobile application and specifying a reason for their request.

SQUEAKI will process refund requests subject to a review of the refund reason and circumstances to ensure that both parties have complied with these terms and conditions, and that the purpose of the refund is not to avoid any of the parties' obligations under these terms and conditions. If SQUEAKI reasonably believes that the parties have not complied with these terms and conditions or are seeking to avoid any such obligations SQUEAKI shall not be obliged to make the refund.

12.2 Refund and cancellation penalties

Users are strictly discouraged from causing cancellations and refunds. Refunds will impact Users standing in the SQUEAKI marketplace as follows:

  1. where the Service Provider is at fault for the refund (for example, due to no response, or poor quality of work), it will negatively impact their Service Provider status and rankings.
  2. where the Client is found to be the cause for the refund (for example, an early cancellation due to a change in their need) it will negatively impact their Client status.
  3. multiple refunds attributed to a User will lead to temporary and/ or permanent restrictions on their account depending upon the severity

13. FEE

The Service Providers agree that they will pay SQUEAKI 30% of the total amount of Service Price as the administration fee.

The Service Provider agrees that this fee will be taken automatically by SQUEAKI from the Escrow Account according to the Escrow Instruction when the Client made the payment for the service without advanced notice.

14.RELATIONSHIP BETWEEN USERS AND SQUEAKI

SQUEAKI offers a platform that enables Users to find one another, enter into service relationships and agreements, receive, and provide Services, and make and receive payments through escrow.

SQUEAKI neither performs nor employs individuals to perform Services. Service Providers are therefore not employees or workers of SQUEAKI. You acknowledge and agree that SQUEAKI does not supervise, direct, control, or monitor Users in the performance of any contractual obligations they may have under a Service Contract.

You agree that: (a) SQUEAKI is not responsible for ensuring the accuracy or legality of any User Content, for which Users are solely responsible; (b) SQUEAKI is not responsible for the offering, performance, or procurement of Services, (c) SQUEAKI does not make any representations about or guarantee any particular User’s offered services, and (d) nothing will create an employment, agency, or joint venture relationship between SQUEAKI and any User offering services. While SQUEAKI may provide certain badges on Service Provider or Client profiles, such badges are not guaranteed, including of quality or ability or willingness of the badged Service Provider or Client to complete a Service Contract.

You further acknowledge and agree that Users, and not SQUEAKI, are solely responsible for (a) evaluating and determining the suitability of any Project, Client, or Service Provider; (b) assessing whether to enter into a Service Contract with another User and for verifying any information about another User; and (d) negotiating, agreeing to, and executing any terms or conditions of the contracts and for performing and monitoring performance under them. All Service Contracts between Users are directly between the Users and SQUEAKI is not a party to those contracts.

Nothing in this Agreement is intended to or does prohibit or discourage any User from engaging in any other business activities or providing any services through any other channels they choose, provided, if applicable, Users comply with the Opt-Out provisions described in this Agreement. Users are free at all times to engage in such other business activities and services and are encouraged to do so.

15.CONTRACTUAL RELATIONSHIP BETWEEN THE BUYER AND SERVICE PROVIDER

User(s), not SQUEAKI, are responsible for deciding whether to enter into agreements with other User(s) and for determining what the terms of those agreement(s) will be.

If a Client and a Service Provider decide to enter into a Service Contract, the contract is a contractual relationship directly only between the Client and the Service Provider. SQUEAKI is not responsible for and is not a party to any Service Contract and under no circumstances will any such contract create an employment or any service relationship between SQUEAKI and any User.

With respect to any Service Contract, Clients and Service Providers may enter into any agreements that they deem appropriate (e.g., confidentiality agreements, invention assignment agreements, assignment of rights, etc.), provided that those agreements do not conflict with, narrow, or expand SQUEAKI’s rights and obligations under the Terms of Service, including this Agreement and the applicable Escrow Instructions.

16.SAFETY AND INSURANCE

Every Service Provider registered as a User on SQUEAKI will be fully vetted and will have a photo ID shown on their User Profile on our mobile applications when providing services to the Client.

If you are a Client, you agree that you will confirm with the Service Provider(s) before the Project commences, via our mobile application or verbally, regarding eating, drinking, or smoking in the Client’s home.

You agree to ensure that the Service Providers will be in a safe environment while working, and any risks need to be raised and discussed before the job, including but not limited to safe electrical appliances, unsteady or broken furniture, and slippery floors.

If you own a pet, you must inform the Service Provider on our mobile applications before the job is scheduled on the applications.

During and after a clean, you should expect the floors and surfaces to be wet or slippery.

You agree that you will put away any cleaning products and equipment that belong to you once the Service Provider has finished the job. It will however be the Service Provider’s responsibility to ensure all the cleaning products are closed and equipment turned off.

For the avoidance of doubt, due to the contractual relationship between Client and the Service Provider, SQUEAKI will not be liable for any accidents that may arise as a result of these events. It is your responsibility to take any necessary precautions to safeguard yourself and any other persons who have access to the property during and after a clean.

If you are a Service Provider, you agree that you will treat all Clients’ homes with the greatest of care.

The Clients must inform Service Providers of any items that are especially delicate, required special care or attention or are irreplaceable so that extra care is required where necessary. Any high-value items that do not need to be cleaned should be either secured or removed from the environment, for example, jewellery, art, or antiques.

For the avoidance of doubt, due to the contractual relationship between Client and the Service Provider, SQUEAKI will not be liable for any damages to the Client, or Client’s property, or Service Provider, or Service Provider’s property that may arise during the delivery of the Project.

17.DISPUTE AMONG USERS

For disputes arising between Clients and Service Providers, you agree to abide by the dispute resolution process that is explained in the Escrow Instructions that apply to your particular Service Contract. If that process does not resolve your dispute, you may pursue your dispute independently, but you acknowledge and agree that SQUEAKI will not and is not obligated to provide any further dispute resolution assistance.

If Service Provider or Client seeks an order from an arbitrator or court that might direct SQUEAKI, SQUEAKI Escrow, or our Affiliates to take or refrain from taking any action with respect to an Escrow Account, that party will (a) give us at least fourteen (14) business days’ prior notice of the hearing on the order; (b) include in any such order a provision that, as a precondition to any obligation affecting SQUEAKI or SQUEAKI Escrow, we be paid in full for any amounts to which we would otherwise be entitled; and (c) include in any such order a provision that, as a precondition to any obligation affecting SQUEAKI or SQUEAKI Escrow, SQUEAKI be paid for the reasonable value of the services the order obligates us to undertake.

18. PRIVACY POLICY

By proceeding to use the SQUEAKI service, Users consent that SQUEAKI may process the personal data (including sensitive personal data) that SQUEAKI collects from them in accordance with the SQUEAKI Privacy Policy and the terms of the Data Protection Act 2018 and relevant regulations.

SQUEAKI may use your personal data to gather feedback regarding your experience you may have with our platform. This helps our business grow by assembling useful information from our end- users.

SQUEAKI is not a party to any Service Contract between a Client and a Service Provider. Any Service Contract between a Buyer and Service Provider shall be in accordance with such Service Provider's privacy policy and the terms of the Data Protection Act 2018 and relevant regulations.

20. GOVERNING LAW

These terms and conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have non-exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these terms and conditions or their subject matter or formation (including non-contractual disputes or claims).
